Terms of Payment
If you do not pay any invoice within given days of the due date, we may either suspend delivery of any purchase order or any remaining balance until payment is received, or we may terminate delivery of any purchase order or any remaining balance by giving you written notice of termination within the time duration of the grace period expiring. The items will be paid for with a credit card.
Acceptance of merchandise
Upon receiving the goods, you must inspect them. Unless we receive written notice of rejection explaining the reasons for rejection within five calendar days after delivery of the products, you are presumed to have accepted the goods.
Force Majeure
Acts of God, acts of war, fire, insurrection, strikes, lock-outs, or other serious labor disputes, riots, earthquakes, floods, explosions, or other acts of nature shall excuse either party from any delay or failure in performance if caused by any occurrence or contingency beyond its reasonable control, including, but not limited to, acts of God, acts of war, fire, insurrection, strikes, lock-outs, or other serious labor disputes, riots, The party whose obligations and rights have been excused shall have their obligations and rights extended on a daily basis for the length of the excusable interruption. The parties' respective obligations will resume once such occurrences have passed.
Limitation of Liability
We are not entitled to and will not be liable for any indirect, special, incidental, consequential, or punitive damages of any kind, including but not limited to business interruption costs, loss of profit, removal and/or reinstallation costs, procurement costs, loss of data, loss of equipment, equipment damage, personal injury, reputational damage, or loss of customers. Regardless of the nature of the claim, whether in contract, tort, warranty, or otherwise, your recovery from us for any claim must not exceed the purchase price for the items giving rise to such claim. We will not be liable for any claims arising from our compliance with your designs, equipment, specifications, or instructions, or from the repair, modification, or alteration of any products by parties other than us, or from their usage in combination with other goods.
Prices
The cost of the goods will be as stated in our order confirmation. All prices are exclusive of all taxes, impositions, and other charges imposed by any government entity, including but not limited to sales, use, excise, value added, and similar taxes or charges.
Applicable Law
These terms and conditions are governed by Industiral Lynx. These terms and conditions of sale are governed by the laws of the state of California
Items available only by special order
Once you place an order for custom-cut, customer-built, or special-order items, it is non-cancelable, and any custom-cut, customer-built, or special-order items you purchase are non-refundable.
Terms of Delivery for Trucks
This order includes goods that must be delivered by truck. The quoted shipping costs are for a truck delivery to a freight-receiving terminal. To receive truck shipments, someone must be present.
Additional charges will apply to shipments that require a call prior to delivery/24-hour notification, lift gate, interior delivery, and/or residential delivery.
Basis of Sale
The Seller shall sell and the Buyer shall purchase the Goods in accordance with any order placed by the Buyer and accepted by the Seller in accordance with clause, all of which shall be subject to these Conditions, which shall govern the Contract to the exclusion of any other terms and conditions on which any such order is placed or purported to be placed by the Buyer. To these Conditions no variation shall be binding unless agreed in Writing between the authorized representatives of the Buyer and the Seller.
Credit
Industiral Lynx must approve all purchase orders before they are processed. The placement or acceptance of an order does not imply the establishment of a credit account.
Customers whose accounts have been placed on credit hold will not be able to receive anything until their accounts are current and in good standing.
If Customer's financial performance or credit worthiness is unsatisfactory to Industiral Lynx, Industiral Lynx retains the right to seek payment for any shipment hereunder in advance or, in the alternative, satisfactory security for such order. Customer execution of a Corporate Guaranty is one example of this type of security.
Export Sales
The list of countries subject to US economic restrictions or embargoes may change over time, but North Korea, Cuba, Iran, Sudan, and Syria are now on it.
You further expressly acknowledge and agree that the products will not be exported, re-exported, or provided to entities.
Components
Unless you're buying a remanufactured item, the item you're buying is made up of new or used components that meet industry requirements.
Warranties and Liability
The Seller promises that the Goods will conform to their specification at the time of delivery and will be free of defects in material and workmanship for a period of three months from the date of delivery, subject to the restrictions set forth below.
General
Any notice required or permitted to be given by either party to the other under these Conditions must be given in writing to the other party at its registered office or principal place of business or such other address as may have been notified to the party giving the notice pursuant to this provision at the relevant time.
